SmartMat Terms of Use
Users are deemed to have read and agreed to the SmartMat Terms of Use set forth by the Company.
Billing
The Company will send the User an invoice after the service starts (installation date). Please pay the invoice at the end of the following month.
If the invoice is paid by bank transfer, the customer is responsible for the bank transfer fee.
Please note that if payment is not confirmed by the due date, a 12% (annual percentage rate) late fee will be charged from the month following the due date of the invoice transfer.
In the event that the user arranges SmartMat through a Partner, the terms and conditions of the SmartMat transaction and billing and payment of usage fees shall take precedence over the terms and conditions set forth by the Partner and the User individually.
Renewal of Contracts
Unless otherwise stipulated between the Company and the User, contracts for inventory management and automated ordering solutions using SmartMat are on an annual basis (single or multi-year) (contracted amount paid in advance, with annual contract periods in the case of monthly payments). If the User does not receive a notice of cancellation at least one month prior to the service termination date, the contract will be automatically renewed for the following year.
Users who wish to terminate the contract must notify us in writing (including e-mail) at least one month prior to the service termination date.
Cancellation, Cancellation Fee, and Cancellation before Termination after SmartMat Arrangement
The contract is considered to be concluded upon account registration, mat arrangement, or equivalent ordering action (ordering instructions by e-mail, etc.). Cancellation or reduction in the number of mats after account registration, mat arrangement, or equivalent ordering action will not be accepted.
In the event of cancellation or reduction in the number of mats after mats have been arranged, 100% of the usage fee (initial installation fee and annual usage fee) as indicated in the quotation will be charged.
If the mat delivery date is postponed (delivery date undecided), it will be treated as a cancellation. In the event of a delay of one month or more from the initial delivery date, an advance payment of 20% of the initial installation fee and annual usage fee will be invoiced in the month of the initial delivery date.
In the event of a mid-term cancellation of the SmartMat service, no mid-term cancellation fee will be charged. In the case of an annual contract or monthly payment, the remaining months of usage will be invoiced in a lump sum.
There is no refund for the remaining number of months if you cancel the SmartMat service before the end of the subscription period.
Site Visit Service
In the case of multiple installation locations, on-site services (initial setup support, labeling service, and battery replacement service) will be billed at cost.
Replacement of HW at user’s convenience
For hardware exchanges due to size changes, a shipping and exchange fee (1,000 yen per unit) will be charged. Users are also responsible for return shipping charges for hardware that has been used.
Procedures for Termination Contract
After completing the use of the SmartMat service, the user shall deliver the hardware to the location designated by the Company. Users shall bear the shipping costs of the hardware. If the returned hardware is damaged, the User shall pay the actual cost of repair or replacement separately by the Company.
Communication Environment
The Company assumes no responsibility for the telecommunications environment or stability of communications in which users use SmartMat. Wi-Fi routers and access points provided by the Company may be purchased outright or rented. Equipment provided by the Company is guaranteed to be in good working order. Therefore, if the equipment is deemed defective, it will be replaced free of charge. However, if the communication failure is caused by a device other than those specified by us, we assume no responsibility whatsoever.
If we provide a SIM card, the SIM card will be rented. When using the SIM card provided by us in a package, please do not connect any device other than SmartMat; the SIM card has a monthly limit on communication capacity, which may become unavailable if any device other than SmartMat is connected.
Software Updates
In the event that the use of the SmartMat becomes temporarily unavailable due to software updates, etc., the Company will notify the user in advance.
Malfunction and Replacement
In the event that the equipment provided by the Company for rental is defective and interferes with the use of the SmartMat, the User shall immediately notify the Company of the defect. If the Company determines that the defect is not attributable to a reason attributable to the User, the Company shall repair or replace the equipment with an equivalent replacement of the same type free of charge. If the cause of the failure is attributable to the User or a force majeure event (natural disaster, earthquake, natural calamity, etc.), the Company shall repair or replace the equipment for a fee. If the User have purchased equipment from the Company in the past and the equipment is defective and interferes with the use of the SmartMat, please contact the Company individually.
Battery Replacement
If the contract includes battery replacement (once a year), the User shall notify the Company in writing at least one month prior to the desired date of battery replacement.
